Dear bidders,

 

When holding any procurement procedure, the Company selects a party (a legal entity or a sole proprietor) as a preferred bidder to negotiate the material and other terms and conditions of the relevant procurement contract for subsequent conclusion thereof.

The procurement procedures are neither auctions nor subject to Articles 447-449 of the Civil Code of the Russian Federation. In addition, such procedures do not represent a public tender and are not regulated by Articles 1057-1061 of the Civil Code of the Russian Federation which, consequently, does not constitute the scope of civil obligations of the Company in relation to the mandatory conclusion of a contract with the preferred bidder or any other bidder.

The bidder shall bear all costs for the preparation and submission of required documents to participate in the procurement procedure. The Company does not have any obligation to reimburse bidders for incurred costs and any other expenses from the preparation and participation in a procurement procedure (actual loss) and loss of profits, irrespective of the outcome of the procurement procedure.

The preferred bidder shall bear all costs related to negotiating with the Company the material and other terms and conditions of the respective contract, and the Company does not have any obligation to reimburse the preferred bidder for incurred costs and other expenses related to negotiations (real loss) and loss of profits, irrespective of the negotiation outcome.

If the Company fails to agree the terms and conditions of the contract, it has the right not to enter into a contract with the preferred bidder. The Company shall have the right to suspend a procurement procedure, negotiations and contract conclusion at any stage by either sending a notice to bidders or the preferred bidder or by posting it on the Company’s corporate website. In such an event, the Company does not have any obligation to reimburse bidders or the preferred bidder for incurred costs or any other expenses (real loss) or loss of profit.

As one of the world’s largest gold mining companies, Polyus prefers manufacturers and their sales affiliates when selecting the best Proposals from Materials Suppliers. However, when this is not possible or economically viable for various reasons for certain procurement types, the Company is interested in cooperating with large trading operators that have an established relationship with manufacturers, sufficient logistics capacity and a solid customer base.

In 2018, the Company’s procurement departments target is to reduce the number of unspecialized resellers in both bulk and separate materials procurements. The Company reserves the right to pay closer attention to contractors that are not manufacturers or their sales divisions. The corresponding information will be included in the Procurement Invitations posted on the corporate website.
